PIA Holding Company Limited (PIAHCL) is a public limited company incorporated under the laws of Pakistan and regulated by the Securities and Exchange Commission of Pakistan (SECP). Pursuant to the Scheme of Arrangement (SOA) sanctioned by the SECP, PIAHCL serves as the holding company for Pakistan International Airlines Corporation Limited (PIACL) and its subsidiaries, including PIA Investments Limited, Skyrooms (Private) Limited, and Sabre Travel Network Pakistan (Private) Limited.

Under the SOA, several key transactions were transferred to PIAHCL, including the assets, liabilities, and shareholding of PIACL, as well as the operations of its subsidiaries. These transfers were part of the larger restructuring plan, aimed at improving the operational efficiency and governance of the national airline and its associated entities. The transactions included the transfer of PIACL’s shares, assets, and liabilities, ensuring a smooth transition in line with the objectives of the Scheme.

PIAHCL plays a strategic role in managing and optimizing the operations of its subsidiaries, ensuring corporate governance, financial oversight, and sustainable business growth. The company is committed to transparency, efficiency, and adherence to regulatory frameworks in all aspects of its operations.

PIAHCL operates in accordance with the Companies Act, 2017, State-Owned Enterprises (Governance and Operations) Act, 2023; and State-Owned Enterprises Ownership and Management Policy, 2023, with a focus on fostering the development and success of the national airline and its affiliated businesses.

The authorised share capital of PIAHCL is PKR 53,500,000,000/-, divided into:

1. 5,349,250,000 class A shares of Rs. 10/- each; and
2. 1,500,000 class B shares of Rs. 05/- each.
